다중댿�표소송의 인정범위에 관한 고찰 (On the recognition range of multiple derivative action)

최근 재벌개혁의 목소리가 높아진 가운데 한 때 추진되었다가 중단된 상법 관련 경제민주화법이 다시 관심을 받고 있다. 그 중에 하나가 다중댿�표소송 제도의 도입이다. 다중댿�표소송의 도입과 관련하여 여러 가지 쟁점사항이 있지만 그중에서도 그 인정범위를 어디까지 정할 것인가가 주요 쟁점이 되어 왔다. 그 범위를 정하기 위해서는 우선 다중댿�표소송의 인정을 위한 이론적 근거를 우리 실정에 맞게 마련하는 것이 필요하다. 우리나라의 경우 그 인정 근거는 미국과 달리 개별 회사라는 ‘개별성’에서 찾을 것이 아니라 원칙적으로 전체 계열사들이 총수일가의 지배하에 일사분란하게 기업집단으로 결합되어 있다는 ‘단체성’에서 찾아야 한다. 그리하여 계열사 간의 지배·종속관계를 일정한 출자지분율의 다과로 정할 것이 아니라 총수일가의 내부지분율 50%를 기준으로 하여 이보다 내부지분율이 높으면 비상장 계열사의 지분을 다소라도 보유한 상장 계열사의 주주에게 다중댿�표소송을 인정해야 할 것이다. 이는 두 계열사를 현재는 지배·종속관계의 회사로 보기 어렵지만 두 계열사는 언제든지 지배·종속관계로 형성될 수 있는 잠재성을 갖고 있기 때문에 이러한 경우 싱장계열사를 지배회사로 보고 비상장 계열사를 종속회사로 보자는 것이다. 그러나 내부지분율이 50% 이하일 경우에는 상장 계열사왿� 비상장 계열사 간의 지배·종속관계를 실질적으로 따져서 지배·종속관계가 성립되면 다중댿�표소송을 적용해야 할 것이다. 그동안 다중댿�표소송의 도입을 반대하는 측에서는 소송이 남용될 우려가 높다고 하지만 이는 어디까지나 기우에 불과하다. 단순대표소송에 대해 적용되는 남소방지규정이 다중댿�표소송에도 그대로 적용된다면 소송 건수는 단순대표소송의 경우왿� 크게 다르지 않을 것으로 보인다. 그리고 다중댿�표소송이 인정된다 하더라도 정당한 경영활동과 관련 있는 경영판단이라면 이를 법원이 보호해줄 것이다.
다행히 우리나라 대법원에서는 2000년대 중반 이후부터 미국 판례법상 인정되는 경영판단의 원칙(Business jugement rule)을 적용하는 경향을 보이면서 다수의 판례가 축적되고 있다. 경영판단의 원칙을 계속 판례에만 맡겨둘 것이 아니라 차제에 상법에 명문화하는 방안을 검토해볼 필요가 있다.

It is necessary to prepare the theoretical basis behind the recognition of multiple derivative actions in accordance with Korean business environment. The theoretical basis must not be sought in separate corporations but must be sought in corporate groups. The theories introduced by courts in America are all based on separate corporations such as theories of piercing the corporate veil, common control theory, compensation and deterrence theory, fiduciary theory, agency theory, holding company theory. Thus, it is not right to set the dominant- subordinate relationship among affiliates by only investment ratio in corporate groups. It is necessary to set the dominant-subordinate relationship among affiliates consulting internal stake on unlisted corporations. If the internal stake on unlisted corporations in a corporate group is higher than 50%, the shareholders of the listed company holding shares of unlisted company in a greater or less degree should be able to file multiple derivative action. It is hard to see these two corporations as dominant-subordinate relationship at present. However, the two corporations have the potential to become dominant- subordinate relationship at any time. On the other hand, if the internal stake on unlisted corporations in a corporate group is less than 50%, dominant- subordinate relationship between listed corporation and unlisted corporation should be confirmed substantially. So, if a dominant-subordinate relationship is established clearly, then the multiple derivative action should be filed.
